NAME:
The name of the Association shall be “National Guard Association of Nebraska.”
PURPOSES:
The purpose of the National Guard Association of Nebraska shall be:
1. To promote and support adequate State and National security.
2. To foster and improve the Army and Air National Guard of Nebraska.
3. To promote and support the National Guard Association of the United States in its effort to improve the National Guard.
4. To assist the public, by pertinent information and cooperation, to have better appreciation of the purpose and value of the National Guard in the National Security program.
Section 1. Membership
The membership of the Association shall be composed of:
a. Active. All active, federally recognized officers/warrant officers of the Nebraska Army National Guard and the Nebraska Air National Guard who pay the required dues.
b. Retired. All retired officers/warrant officers of the Nebraska National Guard or the Nebraska Air National guard of the United States who pay the required dues. Retired members shall have and enjoy all of the rights and privileges of membership in the Association except they shall not hold office nor be voting delegates at any conference.
c. Honorary. All governors and past governors of Nebraska; and such persons as may be elected by the Board of Governors of the Association. Honorary members shall have and enjoy all of the rights and privileges of membership except that they shall not hold office nor be voting delegates at any conference.
d. Life. Any active or retired members who pays the required dues. The status of a life member (active or retired) shall be the same as though he/she were a member on an annual basks, and his/her status as a member of the Association will change whenever his/her status as a member of the National Guard changes.
e. Corporate. Any business or organization, subject to disapproval by the Board of Governors, that pays the required annual dues. Corporate members shall have and enjoy all the rights and privileges of membership except that they shall not hold office not be voting delegates at any conference. Corporate members must pay annual dues and cannot become life members.
f. Dues.

g. Complimentary Membership. Any officer/warrant officer originally appointed (not reappointed or promoted) on or after 1 January is entitled to complimentary membership for the balance of the membership year.
Section 2. Representation
Each active member present at either an Annual or Special Conference shall be entitled to one vote.
Section 3. Quorum.
A quorum shall exist at any Regular Annual Conference, or at any Special Conference, when fifty percent (50%) of the units are represented by at least one delegate each.
Section 4. Fiscal Year.
The fiscal year of the Association shall commence on July 1 and end June 30 of the following year.
Section I. Officers.
The Officers of the Association shall be:
a. President
b. President-Elect
c. Immediate Past President
d. Treasurer
e. Secretary
f. Chaplain
g. Sergeant-at-Arms
h. Judge Advocate-Parliamentarian
Section 2. Board of Governors
There shall be a Board of Governors of the Association, consisting of the President, President Elect, Immediate Past President, Treasurer, and fifteen other members of whom six shall be from the Air National Guard and nine of whom shall be from the Army National Guard. The adjutant General of Nebraska and the Executive Director of the Association shall be ex officio members of the Board of Governors.
Section 3. Election of Officers and Board of Governors
The President, President Elect, Secretary and Treasurer of the Association shall be elected at the regular annual conference of the Association for the term to begin at the conclusion of the conference at which elected and to end at the conclusion of the next succeeding conference.
The Executive Director of the Association shall be appointed by the President and President Elect with concurrence of the Board of Governors. The Executive Director shall serve from January 1st to December 31st. The Executive Director may be paid a monthly salary to be approved by the Board of Governors.
The Chaplain, Sergeant-at-Arms and Judge Advocate/Parliamentarian shall be appointed by the President to serve during the term of such President.
The six members of the Board of Governors from the Air National Guard shall be selected in such a manner as the Air National Guard members of the Association in attendance in caucus shall determine. Provided, however, if at any time the Nebraska Air National Guard shall have organizational changes which result in an increase or decrease in the number of organizations in the Nebraska Air National Guard, the Nebraska Air National Guard members of the Board of Governors currently serving shall determine the new allocation of Air National Guard members on the Board of Governors. The names of such members shall be certified to the Association at the concluding session of each Regular Annual Conference by the organizational headquarters which such members is to represent, or, in the case of a member selected by another method, by the designated individual of the group making the selection.
The nine members of the Board of Governors from the Army National Guard shall be selected one from each Army National Guard organization in the State of Nebraska, in such a manner as each organization determines. Provided, however, it at any time the Nebraska Army National Guard shall have organizational changes which result in an increase or decrease in the number of organizations in the Nebraska Army National guard, the Army National Guard members of the Board of Governors currently serving shall determine the new allocation of Army National Guard members on the Board of Governors. The names of such members for the succeeding hear shall be certified to the Association at the concluding session of each Regular Annual Conference by the organization headquarters which such member is to represent, or, in the case of a member selected by another method, by the designated individual of the group making the decision.
If any member of the Board of Governors shall be elected to the office of the President, President Elect, Secretary or Treasurer, his/her seat on the Board of Governors shall immediately become vacant.
Any vacancy in the elective offices shall be filled by appointment by the Board of Governors for the unexpired term, except that the President Elect shall automatically succeed to a vacancy in the Presidency. Any vacancy in an appointive office shall be filled for he unexpired term by appointment by the same person or group which had the power to make the original appointment. A vacancy on the Board of Governors shall be filled by the same method used in the initial selection. A vacancy occurring in the office of Immediate Past President shall not be filled; and the office of the Immediate Past President shall exist only during the year immediately following such Past President’s tenure as President of the Association.
Section 4. Duties of Officers.
The duties of the officers of he Association shall be prescribed in the By-Laws of the Association and those usually performed by Officers of similar organizations.
Section 5. Executive Committee of the Board of Governors.
There shall be organized within the Board of Governors an Executive Committee, which shall have such powers and shall perform such duties as are assigned and delegated to it by the Guard of Governors. The executive Committee shall be composed of the President of he Association, the President-Elect, the Treasurer, the immediate Past President, and the Secretary. The Executive Director shall serve as an ex-officio member of the Executive Committee.
Section 1. Standing Committees.
The Standing Committees of the Association shall be:
a. Credentials
b. Resolutions
c. Legislative
d. Nominations
e. Time and Place
f. Distinguished Service and Meritorious Service Awards
The President shall appoint the members of the several Standing Committees in the number and in the manner as shall be prescribed in the By-Laws of the Association; provided, however, that in his/her selection of committee members he/she shall follow as closely as possible the proportions of the Board of Governors of District Representatives and Air National Guard Representatives.
Section 2. Special Committees
The President of the Association may appoint such special committees as he/she deems necessary. The membership thereof shall consist of such numbers as the President of the Association may determine.
Section 3. Duties of Committees.
The duties of the Standing Committees shall be as prescribed in the By-Laws of the Association.
The Association shall hold an Annual Conference of the Association and any of the following conferences:
a. Special Conferences as may be called by the President or a majority of the Board of Governors of the Association, and
b. A Recognition Dinner to perpetuate fraternity with former members of the Association, the purposes of which will be the presentation of any awards the Association now has or which it may adopt under its Constitution or By-Laws as presently constituted and hereafter amended. Members of the Association who have retired or are eligible for military retirement and are no longer active in the Nebraska National Guard will be recognized at the Annual Recognition Dinner. Persons to be recognized will be those who retire between the date of the previous year’s event and the date of the next scheduled Recognition Dinner.
Notice of time and place of a regular Annual Conference or a Recognition Dinner shall be given by mail to all members at least sixty (60) days prior to the scheduled meeting. Notice of time and place of a Special Conference shall be given by mail to all members at least ten (10) days prior to such meeting, except on a ruling of an emergency by the President by this requirement shall be waived.
ARTICLE V EMERGENCY BOARD OF GOVERNORS
In the event of war or other emergency declared by the Congress or the President of the United States, as a result of which at least seventy five percent (75%) of the Active Members of the Association are ordered or called into the active military service of the United States, the activities of the Association shall be suspended.
The entry of an Officer of the Association, or a Member of the Board of Governors into active military service of the United States shall automatically create a vacancy in his/her office of position of the Board of Governors, and the same shall be filled as provided in Section 3 of Article II of this Constitution; provided that this paragraph shall not apply to Officers of the Association or Members of the Board of Governors holding office at the time of suspension of activities under this Article:
The Board of Governors, or in the absence of a majority thereof, then the President of the Association, or in the absence of the President then the President-Elect of the Association, or in the absence of the board of Governors, the President, and the President Elect, then the Adjutant General of Nebraska, will, by proclamation, determine the absence of at least seventy-five percent (75%) of the Active Members of the Association, and the activities shall there upon be suspended.
The proclaiming authority shall also designate and Emergency Board of Governors of such number as the proclaiming authority shall deem necessary to protect and preserve the property, funds and records of the Association during the time of suspension of activities. The powers of such Emergency Board of Governors shall be all that are necessary to carry out effectively their duties as above numerated, but there shall in no event have the authority to alter or amend the Constitution and By-Laws of the Association or to dissolve the Association. All of the Acts of the Emergency Board of Governors shall be subject to the supervision and approval of the Adjutant General of Nebraska.
The Board of Governors, or in the continued absence of a majority thereof, then the President of the Association, or in the continued absence of the President, then the President-Elect of the Association or in the continued absence of a majority of the Board of Directors, the President and the President-Elect, then the Adjutant General of Nebraska, will, by proclamation, determine when at least twenty-five percent (25%) of the Active Members of the Association have returned from the active military service of the United States, and the activities of the Association shall thereupon be resumed.
Upon suspension of activities under this Article, Officers of the Association shall continue to hold their offices during such suspension, and until their successors are elected and qualify under Article II, after activities are resumed.
Each member of the Association who is an Active Member at the time of any suspension of activities under this Article, or at the commencement of his/her absence in the active military service of the United States, if called or inducted into Federal Service, shall continue to be classified as an active member for whichever of the following periods is the longer;
a. A period ending one year from the date of the release of such member from active military service of the United States;
or
b. A period ending one year after the resumption of activities of the Association under this Article.
Members who receive a release or discharge from active military service or the United States under other than honorable conditions shall therefore cease to be members of the Association.
In the event that all or substantially all of the Air National Guard is called or ordered into the active military service of the United States, and the Army National Guard is not so ordered or called, or in the event that all or substantially all of the Army National Guard is called or ordered into the active military service of the United States, and the Air National Guard is not so called or ordered there shall be no changes made in the Constitution or By-Laws of the Association which would adversely affect the interests of the absent service, or change the proportion of membership on the Board of Governors.
The word Officer as used in Article I of this Constitution shall include both commissioned officers and warrant officers of the National Guard of Nebraska.
The words National Guard, Nebraska National Guard and National Guard of Nebraska, wherever the same are used in this Constitution shall include both the Army National Guard and the Air National Guard, unless the contrary is specifically stated.
This Constitution may be amended by a majority vote at any Regular Annual Conference or at any Special Conference which is called for the purpose of the Board of Governors or by the President of the Association; provide, however that the restrictions or amendment contained in Article V of this Constitution are not violated. Proposed amendments to the Constitution shall be submitted in writing to the President of the Association at least forty-five (45) days prior to the date of the Conference at which the proposed amendments are to be considered, and mailed to the members at least two (2) weeks prior to the Conference.
At the final Board of Governors meeting prior to the Annual Conference, the Board shall review their activities since the last Conference to identify those actions which have the potential for becoming permanent Association policies and submit them to the Annual Conference for inclusion into the Constitution or By-Laws.
Unless otherwise provided, an amendment of the Constitution hall be effective upon adjournment sine die of the General Conference of Special Conference of the Association which adopted it.
