ARTICLE I - OFFICERS
Section 1. President
The President shall preside at Regular Annual Conferences and all Special Conferences of the Association; shall be the Chair of the Board of Governors; shall be charged with the direction of all affairs pertaining to the Association between Annual Conferences; shall from time t time call meetings of the Board of Governors and of the Executive Committee of the Board of Governors; shall appoint such officers and committees as authorized by the Constitution; shall make arrangements for Annual and Special Conferences; shall have authority to incur such incidental expenses as may be necessary; and shall make an annual report to the association.
Section 2. President-Elect
The President Elect shall perform the duties of the President during the absence or disability of the President; in the case of death, resignation, removal from the office, or vacancy from any other cause in th office of President, he/she shall become the President of the Association for the unexpired term.
Section 3. Immediate Past President.
On the election of the new President of the Association, his/her predecessor shall automatically become Immediate Past President for a period of one year only.
Section 4. Secretary.
The Secretary shall have charge of the office, if any, of the Association and all records pertaining thereto, including those of the Board of Governors and the Executive Committee of the Board of Governors.
Section 5. Treasurer.
The treasurer shall receive and receipt for and be custodian of all funds of any nature whatsoever due the Association and such contributions as ma be made to it, and deposit same in the name of the Association in a bank or banks, or a trust company or companies to be designated by the Board of Governors. He/she shall draw warrants in payment of all bills and claims against the Association, when such bills and claims have been certified to him/her by the President of the Association. The Treasurer shall furnish such bond as may be required by the Board of Governors, the premium of which shall be paid from funds of the Association. He/she shall make an annual report of the finances of the Association to the Regular Annual Conferences.
Section 6. Board of Governors an Executive Committee of Board of Governors.
The Board of Governors during the interval between conferences shall carry out the policies adopted by the Association. A committee of the Board of Governors shall annually audit all financial accounts of the Association, and make report of such audit to the Regular Annual Conference. The Board of Governors may in its discretion, when it deems advisable and in the best interests of the Association, designate an Officer of the Association or other member of the Association as the Liaison Officer. He/she shall serve at the pleasure of the Board of Governors and it shall assign him/her such duties as it deems advisable an fix the amount of his/her compensation and allowances. The Board of Governors shall have the authority to designate time and place of the next Annual Conference when not fixed by the Annual Conference. In the event th time and place fixed for the next Annual Conference is for any reason cancelled the Board of Governors hall then fix a new time and pace for such next Annual Conference.
The Board of Governors may delegate to the Executive Committee any and all matters of an administrative, supervisory or executorial nature, but it shall not delegate to the Executive Committee any matters of policy determination. All acts of the Executive Committee shall be subject to review and approval of the Board of Governors unless the action of the Board of Governors delegation the power assigning th specific duty to the Executive Committee specially bound the Board of Governors to any decision made by the Executive Committee.
Section 7. Term of Office.
The term of office of Officers of the Association shall begin at the conclusion of the conference at which they were elected, and hall continue their successors are duly elected and qualified. Term of office of Representatives of the Board of Governors shall begin and end in accordance with the policy of the organization they represent.
Section 8. Removal from Office.
Any Officer of this Association or Representative of the Board of Governors may be suspended or removed from his/her office or position for inefficiency, for conduct grossly detrimental to the interests of the Association or for any other grace cause, by a two thirds vote of the Members of the Board of Governors.
ARTICLE II - STANDING COMMITTEES
Section 1. Credentials Committee.
The Credentials Committee appointed by the President in Compliance with Section 1 of Article III of th Constitution shall consist of three members, not more than two of whom may be members of the Board of Governors. This Committee shall examine the credentials of the delegates to the Conference, determine their eligibility, and make a report to the Conference.
Section 2. Resolutions Committee.
The Resolutions Committee appointed by the President in compliance with Section 1 of Article III of the Constitution shall consist of as many members as the President shall deem necessary. However, membership on this committee must be proportionally representative of the Active Air National Guard and Army National Guard membership of the Association. This Committee shall consider all resolutions presented and make its recommendations to the Conference. Nothing contained in this Section shall preclude the submission of resolutions from the floor.
Section 3. Legislative Committee.
The Legislative Committee appointed by the President in compliance with Section I of Article III of the Constitution shall consist of as many members as the President shall deem necessary. This Committee shall study the legislative needs of the National Guard of Nebraska and the National Guard of the United States, and shall assist in presenting the Association’s approved legislative program to the Legislature, the Congress, and the proper officials of Nebraska and the United States.
Section 4. Nominations Committee.
The Nominations Committee appointed by the President in compliance with Section I of Article III of the constitution shall consist of as many members as the President shall deem necessary. However, membership on this committee must be proportionately representative of the active Air National Guard and Army National Guard membership of the Association. The Committee shall report to the Conference its recommendations for nominations for the elective Officers of the Association for the ensuing year. Nothing contained in this section shall preclude the making of nominations from the floor.
Section 5. Distinguished Service and Meritorious Service Award Committee.
The Distinguished Service and Meritorious Service Awards Committee appointed by the President in compliance with Section I, Article III(f), of the Constitution shall consist of five members two of whom shall be from the Air National Guard and three from the Army National Guard.
a. Distinguished Service Award - Military. The Distinguished Service Award may be awarded to any member of the Armed Forces of the United States or of the Armed Forces of nations allied with the United States who shall have distinguished himself or herself by outstanding service to the Nebraska National Guard. The performance must be such as to merit recognition for service which is clearly outstanding . Exceptional performance of normal duty, will not alone justify this award. Justification of the award may accrue by virtue of outstanding meritorious service in a succession of duties of positions of great importance.
b. Distinguished Service Award - Civilian. The Distinguished Service Award may be awarded to a corporate or non-member of the Nebraska National Guard who shall have been distinguished by outstanding service to the Nebraska National Guard. the performance must be such as to merit recognition for service which is clearly outstanding. Such service must be in support of and/or promotion of the general welfare of the Nebraska National Guard. Justification of the award may accrue by virtue of outstandingly meritorious service of a succession of support activities promoting the general welfare of the Nebraska National Guard.
c. Meritorious Service Award. The Meritorious Service Award may be awarded to any person who performs meritorious service in support of the Nebraska National Guard or National Guard Association of Nebraska. The meritorious service must be such that it is clearly above the service contributed by the individual’s contemporaries.
d. Nomination for Awards. Any members of the National Guard Association may make a nomination for an award to the Distinguished Service and Meritorious Service Awards Committee.
Nominations must be received by the Awards Committee forty-five (45) days prior to the announced Recognition Dinner. Such nominations shall be in writing and will include such justification as is necessary for the Committee to fully appreciate th service rendered. The Committee will consider and make recommendations to the Board of Governors/Executive Committee on each nomination submitted by the committee. The Board of Governors will make the final determination on each nomination for an award.
Section 6. Time and Place Committee. The Time and Place Committee appointed by the President in compliance with Section I of Article III of the Constitution shall consist of as many members as the President shall deem necessary. However, membership on this committee must be proportionately representative of the active Air National Guard and Army National Guard membership of the Association. This Committee shall recommend to the Conference the time and place of the next two annual Conferences for it consideration. In the event the Conference for any reason does not select the time and place, or either of them, of the next Conference, such selection shall be made by the Board of Governors.
Section 7. Membership Committee. The Membership Committee appointed by the President in compliance with Section I of Article III of the Constitution, shall consist of as many members as the President deems necessary. This Committee, with the direction and assistance of the President, and the Board of Governors will evaluate membership structure and composition and then develop and implement continuing processes and programs for soliciting new active, life, associate and corporate members for he association and for maintaining strong and active membership posture.
Section 8. Chair of Standing Committees. The Chair of the several Standing Committees shall be designated by the President of the Association from among the members of the Committees. The Chair of the Committees may appoint the secretary or recorder of the committee.
ARTICLE III - DUES
The annual dues of the Association shall be as stated in Section 1 of Article I of he Constitution. Dues shall be due and payable on January 1 for the ensuing fiscal membership year, and shall be delinquent on June 30.
When authorized to do so by any Regular Annual Conference or Special Conference, the Board of Governors may levy an assessment on individual members of the Association in such amount as they shall deem necessary to carry out the purposes set forth by the Conference.
Proposed amendments to the By-Laws shall be submitted in writing to the President of the Association at least forty-five (45) days prior to the date of the Conference at which the proposed amendments are to be considered; and shall be mailed to the Association members at least two (2) weeks prior to the Conference.
At the final Board of Governors meeting prior to the Annual Conference, the Board shall review their activities since the last Conference to identify those actions which have the potential for becoming permanent Association policies and submit them to the Annual Conference for inclusion in the Constitution or By-Laws.
Unless otherwise provided, an amendment of the By-Laws shall be effective upon adjournment sine die of the General Conference or the Special Conference of the Association which adopted it.
